Welcome to STEMtiq AI (“STEMtiq,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website at stemtiq.org and any related services, applications, or platforms (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

STEMtiq AI is an educational technology company that provides mentor-guided virtual project-based programs for high school students in the United States. Because our users include minors (students under 18), these Terms contain provisions specifically addressing the participation of minors and the role of parents or legal guardians.

1. Eligibility

Our programs and educational services are designed for high school students, typically between the ages of 13 and 18. If you are under 18 years of age, you must have the consent of a parent or legal guardian to use our Services and to participate in our programs. By registering a student, the parent or legal guardian represents and warrants that they have the legal authority to bind the student to these Terms.

Parents or legal guardians who create accounts or register students on their behalf agree to these Terms both on their own behalf and on behalf of the student. If we learn that a student under the age of 13 has provided personal information without verifiable parental consent, we will take steps to delete such information promptly in accordance with the Children’s Online Privacy Protection Act (“COPPA”).

2. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately at admissions@stemtiq.org if you suspect any unauthorized use of your account.

For student accounts, a parent or legal guardian must provide consent at the time of registration. We reserve the right to suspend or terminate any account that we reasonably believe has been created without proper parental consent.

3. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable federal, state, or local law or regulation.
  • Impersonate or attempt to impersonate STEMtiq, a STEMtiq employee, another user, or any other person or entity.
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which may harm STEMtiq or users of the Services.
  • Use the Services to transmit any advertising or promotional material without our prior written consent, including any spam, junk mail, or chain letters.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, any server on which the Services are hosted, or any server, computer, or database connected to the Services.
  • Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any material on the Services.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Submit any content that is obscene, threatening, abusive, harassing, defamatory, or otherwise objectionable, or that is harmful to minors in any way.

4. Student Conduct and Safety

Because our programs serve high school students, we maintain strict standards for conduct and safety across all interactions on our platform:

  • All interactions between students, mentors, and staff must remain professional and educational in nature.
  • Bullying, harassment, discrimination, or intimidation of any kind is strictly prohibited and may result in immediate removal from the program without refund.
  • Students must not share personal contact information (phone numbers, personal social media accounts, home addresses) with other participants through the platform.
  • We reserve the right to monitor and moderate submissions, communications, and activities on the platform to ensure the safety and well-being of all participants.
  • Any suspected abuse, inappropriate conduct, or safety concern should be reported immediately to admissions@stemtiq.org.

5. Intellectual Property

The Services and all content, features, and functionality thereof - including but not limited to information, software, text, displays, images, video, audio, design, selection, and arrangement - are owned by STEMtiq AI, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Student Work:Students retain ownership of the original work they create during our programs (such as project submissions, code, and reports). By submitting work through the Services, students (and their parents or guardians on their behalf) grant STEMtiq a non-exclusive, royalty-free, worldwide license to use, display, and reproduce such work for educational, promotional, and operational purposes, including showcasing anonymized or attributed student projects on our website and marketing materials. We will not use a student’s full name in promotional materials without prior written consent from the student’s parent or legal guardian.

Project Briefs: All project briefs, curricula, educational materials, and course content provided through our Services are the proprietary property of STEMtiq AI. Company and organization names referenced in project briefs are used solely to describe the type of real-world challenges that exist in each industry. STEMtiq is an independent education technology company and is not affiliated with, sponsored by, or endorsed by any referenced organization.

6. Program Enrollment and Fees

Enrollment in STEMtiq programs may require payment of fees as described on our website at the time of enrollment. All fees are stated in U.S. dollars unless otherwise specified.

  • Payment: All payments must be made by a parent or legal guardian. We accept payment methods as indicated at the time of checkout.
  • Refund Policy: Refund requests must be submitted in writing to admissions@stemtiq.org. Refund eligibility is determined at our sole discretion based on the circumstances and the timing of the request relative to the program start date. We will make reasonable efforts to process eligible refunds within 30 business days.
  • Scholarships and Financial Aid: Where available, scholarship or financial aid decisions are made at the sole discretion of STEMtiq AI and are non-transferable.

7. Certificates and Letters of Recommendation

Students who successfully complete program requirements may receive certificates of completion and/or letters of recommendation as described in the applicable program materials. Issuance of certificates and letters of recommendation is contingent upon satisfactory completion of all program requirements as determined by STEMtiq. Certificates and letters of recommendation are issued at the sole discretion of STEMtiq and may not be guaranteed.

8. Third-Party Links and Services

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by STEMtiq. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that STEMtiq shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER STEMTIQ NOR ANY PERSON ASSOCIATED WITH STEMTIQ MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

STEMTIQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. STEMTIQ DOES NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, COLLEGE ADMISSIONS RESULTS, OR CAREER PLACEMENTS AS A RESULT OF PARTICIPATING IN OUR PROGRAMS. ALL REFERENCES TO OUTCOMES ARE FOR ILLUSTRATIVE PURPOSES ONLY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STEMTIQ, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO STEMTIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless STEMtiq AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If a student’s account is terminated due to a violation of these Terms, the student may be removed from any active program without refund. We will notify the student’s parent or legal guardian of any such termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its rules, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

Nothing in this section shall prevent a parent or legal guardian from filing a complaint with the Federal Trade Commission or any applicable state attorney general’s office regarding the collection or use of a minor’s personal information.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last Updated” date at the top. For material changes that affect the rights or obligations of students or their parents or guardians, we will also provide notice via the email address associated with the applicable account at least 30 days before the changes take effect. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and STEMtiq AI regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
